Ramona,
Are you purchasing the microfilm or merely licensing it? It's doubly
odd if the vendor is trying to tell you what to do after you've
purchased something physical from them. As far as I know, neither
institution where I've worked has dealt with anything like this for
microfilm (or any other physical media).

Ramona,
that just seems wrong to me. We would not sign that agreement.

We are accustomed to dealing with license agreements for electronic
products, but today I was sent a license agreement for the microfilm
of a major U.S. newspaper. I don't think we've signed any licenses
agreements for microfilm in the past. This one specifically says that
the content may not be used for interlibrary loan. Have others out
there dealt with this issue before? What is your practice concerning
ILL and microfilm? Would you sign such an agreement?
Thanks, Ramona
