Gary,

While we have not been in a similar situation, almost every license I
sign (and that is a very large number) states that the licensee
cannot assign their rights under the contract. In other words, there
would no longer be any access after a sale. This is a standard clause,
so you will need to reread each license.

Colleagues,

In addition to licensing content for those affiliated with the
university, we have included our primary teaching hospital in our
licenses.  Negotiations are now underway for a large, non-profit
health network to purchase our teaching hospital.  We are starting to
explore the implications for our licenses and possible solutions to
provide access to information to the hospital staff.

If you have faced a similar situation and wouldn’t mind chatting about
