Ramona,

I would think you would not need to treat this differently from any
other license agreement.

I'd go ahead and mark it up with revision requests - including
language that would allow for ILL.

"Allowed to perform Interlibrary Loan according to CONTU Guidelines
and U.S. Copyright law, including the practices of  Print out and
postal mail  - and - scan and electronically deliver through secure
transmission (such as Ariel, Odyssey, OCLC Document Exchange)."

What have you got to lose but a little time and effort ?

We are accustomed to dealing with license agreements for electronic
products, but today I was sent a license agreement for the microfilm
of a major U.S. newspaper.  I don't think we've signed any licenses
agreements for microfilm in the past.  This one specifically says that
the content may not be used for interlibrary loan.  Have others out
there dealt with this issue before?  What is your practice concerning
ILL and microfilm?  Would you sign such an agreement?
