Docuseek2 has their Digital Rights License Agreement on their website. You may be able to use this as a guide and just delete terms that don’t apply or that you don’t find favorable:

Hello—
We are in the process of licensing a single, digital film for a 3 year period.
The provider does NOT have a contract, and instead is requesting that we send them our own contract language that agrees to the following points:
I don’t have anything immediately put together as the provider typically sends us an agreement to review.
Does anyone happen to have language or an agreement you’ve used to license a single-file digital film that you’d be willing to share?
