We are in negotiations with McGraw-Hill and want to add the following
clause about modifications of subscribed materials to the license,
b. Notification of Modifications of Subscribed Materials. MH shall give
Participating Institutions notice of any substantial modifications in
Subscribed Materials. If any such modification renders the Subscribed
Materials less useful to Participating Institutions or its Authorized
Users, MH shall reimburse Participating Institution in an amount that the
withdrawal is proportional to the total Fees owed by Participating
Institution under this Agreement.
MGH is reluctant to agree with this clause. They want to hold onto their
clause,
a. MH has the right to revise or update the Subscribed Materials at any
time during the term of the Agreement.
Do other libraries/consortia have experience with a negotiation over this
clause, and what was the result?
